The Export-Import Bank of the United States (EXIM) is searching for an appropriate candidate to a Senior Counsel in the structured and project finance practice group of EXIM’s Office of the General Counsel (OGC). EXIM is an independent agency of the Federal Government whose mission is to support U.S. jobs by supporting and facilitating financing for U.S. exports. EXIM is the official export credit agency of the United States. This position is designated as “remote” meaning that it is located either at EXIM’s headquarters or anywhere else in the United States. Foreign travel should be expected for this position.
The position of Senior Counsel in OGC’s structured and project finance practice group is a senior position at the GS-15 level. The incumbent reports to the Assistant General Counsel for Structured and Project Finance and is a member of the team providing legal support to EXIM on international structured finance matters (including highly complex limited recourse international project financings) in the following areas:
working with other members of EXIM staff to evaluate proposed transactions and other matters of programmatic significance, including sources of legal, commercial, and political risk, and advising members of EXIM staff, management and senior leadership on such matters;
conducting (or supervising) due diligence in connection with the origination of complex financings;
origination stage drafting and negotiating (or supervising the drafting and negotiating) of core finance and security documents (including, without limitation, credit agreements, common terms agreements, intercreditor agreements and liens, pledges and other security arrangements);
portfolio management of operating credits, including waivers and amendments, restructuring of credits, enforcement of rights and/or arbitration or other dispute resolution;
management of external counsel teams with respect to active origination and portfolio management matters;
The incumbent is also periodically assigned to special projects relating to issues of programmatic significance
The OGC structured and project finance practice group handles financings in the following sectors: satellites; non-satellite telecommunications; oil and gas (including extraction, refining and/or pipelines or other delivery structures for liquefied natural and other gas and oil); mining (including integrated mine-power-rail-port projects); power (including gas or coal-fired power projects and either nuclear, thermal or renewable power projects); petrochemicals; basic industry manufacturing; microchips, semiconductors and/or related high technology; and airports, seaports, or other infrastructure.
This is a permanent, full-time, non-political position, open to U.S. Citizens only. The candidate for this position must be a graduate of a law school accredited in the United States and have at least 4 years of experience practicing law, including at least 4 years of significant experience representing lenders, sponsors or borrowers in negotiation and documentation of core documents in international limited recourse project financings, of which at least 1 year must involve experience leading a team (at the assigned internal counsel with sole coordinating responsibility level or greater in the case of U.S. Government attorney positions, or at the lead associate level or greater in the case of private sector law firm experience, or equivalent experience in the case of other positions) responsible for such work.
