**This position may be sited in the Marathon Petroleum Corp. office in Houston, TX, San Antonio, TX or Findlay, OH.
The Assistant General Counsel, Corporate & Finance will be a leader within the Corporate & Finance component of the MPC Law organization, reporting to the Vice President, Chief Securities, Governance and Compliance Officer and Corporate Secretary. The successful candidate will lead a team with responsibility for delivering legal services to MPC and MPLX LP senior management on a variety of general corporate and securities law matters, including SEC reporting and compliance, corporate financings, global subsidiary management and Environmental, Social and Governance (ESG) initiatives. This is a front-line leadership role for a confident and proactive experienced attorney with a strong securities background, intellectual firepower and an enthusiasm for a varied set of responsibilities.
Lead a team comprised of attorneys and paralegals and/or analysts
Supervise and also serve as senior counsel within a practice group focused on:
Providing advice on compliance with securities laws, including as to 33 and 34 Act filings;
Review and preparation of disclosures for Forms 10-K, 10-Q, 8-K, 13D; administration of insider trading compliance program and Section 16 reporting for 25+ reporting persons across two issuers;
Support on MPC/MPLX earnings processes, counseling clients on Reg FD, Reg G;
Reviewing all external communications for compliance with company policies and consistency with Disclosure Review Committee guidance; and
Deploying technology to modernize public company processes where feasible.
Personally serve as counsel to Investor Relations and Stakeholder Engagement functions.
Interface directly with senior executives on matters of risk management as relates to securities laws.
Provide support on corporate financing transactions and share repurchase program.
Oversee the subsidiary management function.
Oversee a variety of public company administrative matters, such as dividend and distribution payments, related party transaction policy administration, SOX certifications processes, D&O questionnaire matters, governance policies, director compensation, etc.

EDUCATION AND EXPERIENCE:
Juris Doctorate degree required
Current license to practice law in a U.S. state, member in good standing.
12 or more years of corporate/securities law experience representing public companies (a combination of law firm and in-house experience is welcome).
